Good Governance: Independent Board

We work to maintain a modern and effective framework of policies and structures to ensure best practices for corporate governance. The composition of our 11-person independent Board satisfies many of the classic characteristics highlighted by governance advisors as being fundamental to good governance:

  • The Chair and CEO positions of Mercer are separate offices.
  • Other than the Chair and CEO, all Board members are independent.
  • The Audit, Compensation, and Governance Committees of the Board are comprised of independent members.
  • The Environmental, Health and Safety Committee ensures a strong focus on Environmental and Social performance.
  • Three of the 11 current members of the Board are women.

Shareholder Approval

During the 2023 Annual Meeting of Shareholders, proposals for consideration, including Board nominees, auditor appointment and executive compensation, achieved approval by shareholders.

Institutional Shareholder Services Inc., a leading shareholder advisory services firm, supported all proposals by the company and assessed its governance score as “Low Risk.”

    We believe that Mercer’s viability and integrity depend on the protection of our critical assets, including our people, physical assets, and our information.
